Terms of sale

These terms apply to the Voisinia service offered by Morocode LLC ("Voisinia") to businesses (the "Client"). The service is reserved for professionals acting for the purposes of their business.

1. The service

On the Client's behalf, Voisinia writes and publishes posts on the Client's Google Business Profile and Instagram and Facebook pages, prepares replies to Google reviews, and provides a monthly report. The content of the current plan is described on the Pricing page. Every post and every reply is submitted to the Client for approval before publication: no content is published without the Client's consent.

Plans offered: "Visibility" (monthly subscription), "Yearly visibility" (annual subscription paid in advance, profile setup included free if the business is not online yet), "Launch + visibility" (profile setup followed by a monthly subscription), "Profile setup only" and "Website". A Visibility client who does not have a Facebook page or Instagram account yet gets them at no extra cost. Profile setup includes creating and optimizing a Google Business Profile, a Facebook page and a professional Instagram account in the Client's name; the Client remains their owner, and Voisinia is added as a manager.

The Google profile is published only after Google has verified it, which Google requests from the Client directly (most often a video of the business). Voisinia guides the Client but controls neither Google's decision nor its timing. If Google permanently rejects the profile, the setup price is refunded to the Client; any subscription may be canceled as set out in Article 3.

2. Prices and payment

Voisinia is published by a company established outside the European Union: the service is invoiced excluding tax, and VAT (or an equivalent tax) is self-assessed by the business Client under the reverse-charge mechanism where the law of its country so provides (in the European Union: Article 283-2 of the French General Tax Code and Article 196 of Directive 2006/112/EC). Prices depend on the country of the business and are shown in its currency. The price is the one shown on the website at the time of subscription, stated excluding tax, and payable in advance by bank card through our payment provider Stripe: every month for the monthly plan, for one year for the annual plan, and in a single payment for setup. An invoice is made available for each payment. If a payment fails, Voisinia informs the Client and may suspend the service after 15 days.

3. Term and cancellation

The monthly subscription has no minimum term. It renews every month until canceled. The Client may cancel at any time from their client area, in one click, with no fees or notice: cancellation takes effect at the end of the current monthly period, which has already been paid. Amounts paid for the current period are not refunded.

First-month guarantee. If the first month of subscription does not suit the Client, the Client notifies Voisinia within 30 days of the first payment (from their client area or by e-mail): Voisinia refunds the first month of subscription, with no reason required, and the subscription ends. For the yearly plan, the full annual payment is refunded within the same period. The guarantee does not cover the price of profile setup once the profiles have been created, nor a second subscription for the same business.

The annual subscription commits the Client for twelve months, paid in advance and non-refundable, except in the event of a breach by Voisinia. It renews for one year unless the Client turns off renewal from their client area before the renewal date; the Client may also switch to the monthly plan at the renewal date.

4. Client's obligations

The Client provides accurate information about their business and grants us the necessary manager access (Google profile, Facebook / Instagram page), which the Client may revoke at any time. The Client warrants that they hold the rights to the photos and content they send us, and remains responsible for the offers, prices and information they ask us to publish.

5. Voisinia's obligations

Voisinia undertakes to provide the service with care, to respect the Client's tone and instructions, and to prepare a reply to new Google reviews within 48 business hours. Voisinia is bound by an obligation of means (best efforts), not of result. No ranking in Google or social media results, and no volume of customers, is guaranteed: these results depend on factors beyond our control.

6. Content and platforms

Posts approved by the Client are published on the Client's own accounts under the Client's editorial responsibility. Voisinia cannot be held liable for decisions made by the platforms (Google, Meta): rejection of a post, suspension of an account or changes to their rules. Texts written by Voisinia are assigned to the Client once published.
